1. Agreement to these terms

These Terms of Service (the "Terms") govern your use of upsidepest.com (the "Site"), which is operated by Upside Pest Control LLC ("Upside Pest Control," "we," "us," or "our"). By using the Site, requesting a quote, or submitting a form, you agree to these Terms. If you do not agree, please do not use the Site.

These Terms cover your use of the Site. The pest control services we perform at your property are governed by the service agreement, quote, or work order you accept before we begin work. If anything in that document conflicts with these Terms, that document controls for the services it covers.

2. Who we are and what we do

Upside Pest Control LLC is a family-owned pest control company based in San Tan Valley, Arizona. We provide residential and commercial pest control services in San Tan Valley, Queen Creek, Gilbert, Chandler, Mesa, Tempe, Florence, Coolidge, and surrounding communities in the East Phoenix Valley. Pest control in Arizona is a licensed activity, and treatments are applied by licensed technicians.

3. Information on this Site is general

The pest descriptions, seasonal guidance, prevention tips, interactive tools, and blog articles on this Site are provided for general information only. Every property is different, and the pests, conditions, and treatment needs at your address may differ from what is described here.

Nothing on this Site is a diagnosis of a pest problem, a guarantee of any particular result, or professional advice about your specific property. Do not rely on this Site in place of an inspection by a licensed technician.

4. Quotes, estimates, and pricing

Prices, plans, and promotional offers described on this Site are estimates for planning purposes and are not an offer that binds us. The final price for your property depends on the scope of work, which we determine at inspection based on factors such as the size and condition of the property, the pests involved, the severity and extent of the problem, accessibility, and the type of treatment and follow-up required.

A price becomes binding only when we provide you with a written quote or work order for your property and you accept it. We may decline or discontinue service, including for properties outside our service area or where conditions make treatment unsafe or ineffective.

5. Promotional offers

From time to time we advertise promotional pricing, introductory offers, or discounts. Unless the offer states otherwise, promotional offers apply to new customers only, cover a standard initial treatment as we define it, are limited to one per property or household, cannot be combined with other offers, and may be modified or withdrawn at any time before you accept a quote.

A promotional price reflects a standard scope of work. If your property requires work beyond that scope, we will explain the difference and provide a quote before performing the additional work. You are never charged for work beyond a promotional scope without your approval.

6. Scheduling, access, and your responsibilities

To let us perform the services you request, you agree to:

• Provide accurate contact information and an accurate service address
• Confirm that you own the property or are authorized to approve pest control treatment at it
• Provide safe access to the areas that need treatment at the scheduled time
• Tell us in advance about pets, children, pregnancy, allergies, asthma, beehives, ponds or fish, vegetable gardens, or any other condition that could affect how or where we treat
• Follow any preparation or re-entry instructions we give you before and after a treatment

If we cannot access the property at the scheduled time, or if conditions at the property make treatment unsafe, we may need to reschedule. Rescheduling and cancellation terms for ongoing service plans are described in your service agreement.

7. Service guarantee

We stand behind our work. If covered pests return between scheduled visits on an active recurring service plan, we will return and re-treat the affected areas at no additional charge, subject to the terms of your plan.

This guarantee applies to the pests and areas identified in your service agreement while your plan is active and your account is current. It does not cover pests or areas excluded from your plan, new infestations caused by conditions outside our control, or properties where recommended preparation, exclusion, sanitation, or repair work has not been completed. Pest control reduces and manages pest activity; no company can guarantee that a property will remain permanently free of all pests.

8. Payment

Payment terms, service frequency, and the amount due are set out in the quote or service agreement you accept. Unless otherwise agreed in writing, payment is due when the service is performed. We are not currently able to accept payment through this Site; submitting a form on this Site does not charge you and does not require a payment method.

9. Communications consent

When you submit a form on this Site, you are asking us to contact you, and you agree that we may call, text, or email you at the contact information you provide in order to respond to your inquiry, provide a quote, and schedule and perform service. Where a form includes a text-message consent checkbox, the terms shown next to that checkbox apply. You may reply STOP to opt out of text messages at any time. Consent to receive text messages is not a condition of purchasing any service. Our Privacy Policy explains how we handle your contact information.

10. Acceptable use of the Site

You agree not to:

• Submit false, misleading, or fraudulent information through our forms, or submit another person’s information without their permission
• Use the Site to send spam, solicitations, or automated bulk submissions
• Attempt to gain unauthorized access to the Site, our systems, or another user’s information
• Interfere with or disrupt the operation, security, or availability of the Site
• Copy, scrape, republish, or resell Site content except as permitted below
• Use the Site for any unlawful purpose or in violation of these Terms

11. Intellectual property

The Site and its content, including text, photographs, illustrations, interactive tools, layout, design, and the Upside Pest Control name and logo, are owned by Upside Pest Control LLC or its licensors and are protected by intellectual property laws. You may view, download, and print pages from the Site for your own personal, non-commercial use in evaluating or receiving our services. Any other use, including reproduction, modification, distribution, or commercial use, requires our prior written permission.

12. Third-party links and content

The Site may link to or display content from third parties, such as customer review platforms or mapping services. We do not control that content and are not responsible for it. A link is not an endorsement, and your use of a third-party site is governed by that site’s own terms and privacy policy.

13. Disclaimers

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties of any kind relating to the Site, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that the information on it is complete, current, or accurate for your situation.

This section applies to the Site. It does not limit any warranty or guarantee we expressly provide in a signed service agreement for work performed at your property, and it does not disclaim any liability that cannot be disclaimed under Arizona law.

14. Limitation of liability

To the fullest extent permitted by law, Upside Pest Control LLC and its owners, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of or relating to your use of the Site, even if we have been advised of the possibility of those damages.

Nothing in this section limits liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be limited or excluded under Arizona law.

15. Indemnification

You agree to indemnify and hold harmless Upside Pest Control LLC and its owners, employees, and contractors from claims, damages, losses, and reasonable costs arising out of your misuse of the Site, your violation of these Terms, your submission of another person’s information without authorization, or your misrepresentation that you are authorized to approve treatment at a property.

16. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be brought in the state or federal courts located in Arizona, and you consent to the jurisdiction of those courts.

Before filing any claim, we ask that you contact us first so we can try to resolve the matter directly. Most concerns are resolved with a phone call.

17. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and post the updated Terms here. Changes take effect when posted, and your continued use of the Site after that means you accept the updated Terms.
